These terms describe the general conditions for working with The House of Crimson LLC. A proposal, statement of work, invoice, maintenance plan, or other written agreement may add to or change these terms for a particular engagement. If there is a conflict, the more specific written agreement controls for that engagement.
Services and written agreements
The House of Crimson LLC provides website development, focused custom software, repair and project-completion work, launch support, maintenance, and technical planning or consulting services.
The scope, price, payment schedule, delivery expectations, and other project-specific terms are established through a proposal, statement of work, invoice, maintenance plan, or other written agreement. No online description creates a promise to provide a particular service or feature.
Scope and changes
Work is limited to the scope agreed in writing. A request that changes the design, functionality, content volume, integrations, schedule, or responsibilities may require a revised scope, additional approval, added fees, or a new timeline.
Recurring maintenance does not automatically include major redesigns, substantial content work, or new features unless the applicable maintenance plan says otherwise.
Service delivery and timing
Milestones, delivery methods, and schedules are defined in the applicable written agreement.
Deliverables may be provided through previews, file delivery, repository access, deployment, or account transfer, as described in that agreement.
Recurring maintenance is provided during each paid billing period.
Round-the-clock response is not included unless stated in writing.
Client responsibilities
Clients are responsible for providing the information and access reasonably needed to perform the work. Delays in those items may affect the schedule or the ability to complete the agreed services.
- Provide accurate business, legal, product, and service information.
- Provide content, credentials, files, feedback, and approvals on time.
- Confirm that supplied materials may lawfully be used for the project.
- Review deliverables and report material concerns within the review period stated in the written agreement.
- Maintain access to accounts or infrastructure that the client owns or controls.
Fees and infrastructure costs
Fees and payment dates are stated in the applicable written agreement or invoice. Published prices are starting points for qualifying work; project-specific scope and pricing are confirmed in writing, and recurring maintenance is scoped separately.
Hosting, domains, software licenses, platform subscriptions, transaction charges, and other third-party infrastructure costs may be billed separately or paid directly by the client when applicable.
Third-party services
Websites and software often depend on third-party providers such as domain registrars, hosting companies, content delivery networks, email services, software libraries, and external platforms. Those providers have their own terms, privacy practices, availability, and pricing.
The House of Crimson LLC can coordinate with third-party services as part of an agreed scope, but cannot guarantee that a third-party provider will remain uninterrupted, secure, compatible, available, or priced the same way in the future.
Intellectual property
Ownership of project deliverables, pre-existing materials, licensed components, source code, designs, and client-provided content follows the applicable written project agreement.
A transfer of deliverables does not transfer ownership of third-party software, open-source components, fonts, stock assets, platform tools, or other materials that remain subject to their own licenses.
Lawful and acceptable use
Clients may not use the services or delivered website to violate the law, infringe another person's rights, distribute malicious code, gain unauthorized access, or misrepresent their identity or business.
The House of Crimson LLC may decline or stop work that would require unlawful conduct, deceptive practices, infringement, or a material breach of an applicable written agreement.
Performance and responsibility
The House of Crimson LLC will perform agreed services with reasonable care and in line with the applicable written scope. Because digital projects depend on changing browsers, devices, networks, providers, and client-controlled systems, uninterrupted or error-free operation cannot be promised.
Each party remains responsible for losses directly caused by its own breach, negligence, or unlawful conduct to the extent required by applicable law. To the extent permitted by law, neither party is responsible for indirect or unforeseeable losses, or for failures caused solely by third-party providers or circumstances outside reasonable control.
Nothing in these terms limits a right or responsibility that cannot legally be limited.
Ending services
Project cancellation and recurring-maintenance cancellation are handled under the applicable written agreement and the Cancellation Policy. Refund questions are handled under the applicable written agreement and the Refund and Dispute Policy.
Ending services does not remove payment obligations for approved work already performed, reserved time that has become non-refundable, or third-party costs already incurred.
Governing law
These terms are governed by the laws of the State of Missouri, without regard to conflict-of-law principles, except where applicable law requires otherwise. The parties should first make a good-faith effort to resolve a concern directly.
